Welcome to the RR Donnelley Savings Plan Settlement Home Page.

If you were a participant in the RR Donnelley Savings Plan at any time from December 3, 2014 through December 31, 2023, you may be part of a class action settlement.

A Settlement has been reached in a class action lawsuit against R. R. Donnelley & Sons Company (“R. R. Donnelley”), its Board of Directors, and the Benefits Committee of the RR Donnelley Savings Plan (the “Plan”). The lawsuit alleges various claims related to the operation of the Plan. Plaintiffs claim that Defendants authorized the Plan to pay unreasonably high fees for retirement plan services. Defendants deny all of the allegations in the lawsuit and contend that their conduct was entirely lawful and proper.

You are included as a Settlement Class Member if you had a positive account balance in, or were a beneficiary of someone who had a positive account balance in, the Plan at any time from December 3, 2014 through December 31, 2023.

Current Status

The proposed Settlement provides the following:

  • The Court granted Preliminary Approval of the Settlement on January 11, 2024.
  • As part of the Settlement, Defendants have agreed to make a one-time payment of $1,175,000. After deduction from the Settlement Amount for any amounts that the Court approves for settlement-related expenses (including “Class Representative Service Awards” to Plaintiffs, “Attorneys’ Fees and Expenses” to Class Counsel, certain “Administrative Costs,” and “Taxes” and “Tax-Related Costs” (all as defined in the Settlement Agreement)), the remainder of the Settlement Amount (known as the “Distributable Settlement Amount”) will be distributed to Settlement Class Members.
  • No action is needed for Class Members to receive a payment to which they are entitled under the Settlement.
  • The Court has scheduled a Final Fairness Hearing on May 23, 2024.
